Groko Terms of Use

01. Parties

1.1. Spectraforce Technologies India Private Limited (“Company”)

1.2. User of Groko (“User”)

02. Scope

These Terms of Use represent the terms and conditions applicable to the access and use of the Groko website (hereinafter referred to as “Website”) by the User.

03. Binding Nature / Acceptance of these Terms of Use

By continuing to use the Website, the User acknowledges and agrees that they have read, understood and consent to be bound by the Terms of Use, Privacy Policy and Cookie Policy published on the Website and as amended from time to time. The Company strongly urges that the User read the Terms of Use, Privacy Policy and Cookie Policy in detail before registering a User Profile, accessing or using the Website. The User's access and/or use of the Website would imply deemed acceptance of these Terms of Use including any modification thereof.

04. Definitions

4.1. “User” refers to person(s) who is making use of and accessing the Website for any reason, including but not limited to registering or creating a User Profile on the Website, consuming information & resources provided on the Website, or for attending events posted on the Website.

4.2. “User Profile” shall refer to the profile created on the Website for exploring the wide range of resources and features provided therein.

4.3. “Website content” refers to information in any format, data, text, editorial or informational content, design elements, look and feel, formatting, graphics, images, photographs, videos, music, sounds, and features and resources contained in or delivered via the Website or otherwise made available by the Website in connection with the use and/or access of the Website by the User.

05. Term and Termination

5.1. The Terms of Use become effective as in when the User, registers, accesses, or makes use of the Website for any purpose.

5.2. The Company may at its sole discretion choose to suspend or terminate the User’s right to use or access the Website and/or delete any User Profile for reasons as outlined in Section 6.5. If the Company believes that the User has violated any of the conditions as mentioned under these Terms of Use or our Privacy Policy, the Company may suspend access to the Website and/ or delete the User Profile. Further, if the Company has reason to believe that there is suspicious or unusual activity being carried out through any User profile, the Company may temporarily or permanently suspend access to the Website for such User and delete the User Profile with immediate effect without providing notice to the User.

06. Access and Use of the Website

6.1. Nature of the Website.

6.1.1. The User acknowledges that the Website is a public site with free access and may contain third party links and/or information.

6.1.2. The User acknowledges that certain sponsored website content may be place on the Website.

6.1.3. The User agrees and acknowledges that the Website does not not host, display or transmit any content owned by third parties on its servers, unless the Company either has a license to host, display or transmit over such content or are otherwise permitted under the applicable laws to do the same. Further the User, will be provided with a link to the online sources of such content.

6.2. Registration of User Profile.

6.2.1. The User acknowledges that to access some sections or features of the Website, it will be required to register with the Website by creating a User Profile on the Website.

6.2.2. The User undertakes to provide accurate, updated and complete personal data as required for creating a profile on the Website.

6.2.3. Account, Password and Security of User Profile.
The User is solely responsible for preserving the password, the details provided by them on the User Profile and for their conduct and actions on the Website and on their User Profile.

6.3. Website modifications.
The Company reserves the right to modify or cease temporarily or permanently, the whole Website or parts of it.

6.4. User Profile.
The Company may at its sole discretion impose general principles for use and/or access to the Website including for the User Profiles created therein. The Company reserves the right to remove any content from the website or from the User Profile for the reasons as stated in Section 6.5.

6.5. Prohibited Uses

6.5.1. The User agrees not to use the Website to:

(i) Violate any applicable laws or regulations.

(ii) Exploit or harm minors, including exposing them to inappropriate content or seeking personal data.

(iii) Send unsolicited advertising, spam, or similar materials.

(iv) Impersonate the Company, its employees, other users, or any entity.

(v) Infringe on others' rights or engage in illegal, threatening, fraudulent, or harmful activities.

(vi) Restrict or inhibit others' use or enjoyment of the Website.

6.5.2. Additionally, the User agrees not to:

(i) Use the Website in any manner that could disable, overburden, damage, or impair or interfere with any other User's use of the Website, including their ability to engage in real time activities through the Website and/or use any device, software, or routine that interferes with the proper working of the Website.

(ii) Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

(iii) Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without the Company’s prior written consent.

(iv) Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

(v) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

(vi) Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

(vii) Take any action that may damage or falsify the Company or Website rating.

(viii) Use automated means to crawl and/or scrape content from Website.

(ix) Attempt or breach security or authentication measures without proper authorization.

(x) Otherwise attempt to interfere with the proper working of the Website.

07. Third Party Websites

The User may have access to third-party links that directs it to a different website. The Company is not responsible for those sites and may disable these links at any time if it deems fit. Further, the Company disclaims all liability arising from the User’s access to or use or reliance of such third-party links.

08. Privacy and Data Protection.

The Company shall collect, hold, use and transfer the User’s personal data in accordance with the Privacy Policy. By agreeing to the Terms of Use, the User hereby agree to our Privacy Policy, which may be updated and/or modified by us from time to time. The User understands and agree that, to the extent permitted by applicable law, any personal data provided by the User may be shared with the Company’s affiliates, and/or used by the Company for enhancing the features of the Website. The Company will implement reasonable measures, including technical and physical safeguards, to ensure the security and confidentiality of personal data, protect against threats or unauthorized access, and ensure secure retention and disposal of personal data, in line with applicable Privacy policies and updates.

09. Intellectual Property Rights

9.1. The Website and its content (including text, images, software, and design) are owned by the Company or its licensors and protected by applicable intellectual property laws.

9.2. The Company owns and retains all the intellectual property rights to the summarized content made available to the User through the Website by the Company but does not claim ownership rights to the original sources of information, which are instead held by the third-party sites to which the Website may link the User.

9.3. The User may use the Website only for personal use, with the following restrictions:

9.3.1. No reproduction, distribution, modification, or public display of Website content, except for User-owned content.

9.3.2. No removal or alteration of proprietary notices from Website content.

9.3.3. No commercial use of the Website or Website content, unless expressly permitted.

9.4. The User does not gain any ownership rights to the Website content, and all rights not explicitly granted are reserved by the Company.

10. Trademarks.

The Company's name and logo, and all related names, logos, product and service names, designs, and slogans are the property of Company or its affiliates or licensors. The User must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the website are the trademarks of their respective owners.

11. Reliance on Information.

The Company does not guarantee the accuracy, completeness, or usefulness of the Website content, and reliance is at the User's own risk. The Company disclaims all liability for any consequences resulting from reliance on this information. The User confirms they have all necessary rights and licenses for any information supplied by them, ensuring it does not infringe on intellectual property rights of any third-party. All information supplied by the User must be accurate and not contain illegal or offensive content and must comply with the Terms of Use.

12. Disclaimer of Warranties

THE User's USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OBTAINED THROUGH IT IS ENTIRELY AT THEIR OWN RISK. THE WEBSITE AND ITS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES, EITHER EXPRESS OR IMPLIED. THE COMPANY AND ITS AFFILIATES DO NOT GUARANTEE THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE WEBSITE. THEY DO NOT WARRANT THAT THE WEBSITE OR ITS CONTENT WILL BE ERROR-FREE, SAFE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS LIKE VIRUSES. THERE IS NO ASSURANCE THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE WILL MEET USER EXPECTATIONS. 13. Limitation on Liability.

THE COMPANY, ITS AFFILIATES, AND RELATED PARTIES (INCLUDING EMPLOYEES AND DIRECTORS) ARE NOT LIABLE FOR ANY DAMAGES RESULTING FROM THE User's USE OR INABILITY TO USE THE WEBSITE, LINKED WEBSITES, OR ANY ASSOCIATED CONTENT OR SERVICES. THIS INCLUDES ALL TYPES OF DAMAGES, SUCH AS DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, COVERING ISSUES LIKE PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF REVENUE OR PROFITS, DATA LOSS, AND MORE, REGARDLESS OF THE LEGAL THEORY OR FORESEEABILITY.

14. Indemnification

The User agrees to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to violation of these Terms of Use, or use of the Website, including, but not limited to any use of the website’s content, or services, other than as expressly authorized in these Terms of Use or the User’s use of any information obtained from the Website.

15. Miscellaneous.

15.1. Governing Law and Jurisdiction. All matters relating to the website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India without giving effect to any choice or conflict of law provisions or rules.

15.2. Waiver and Severability

15.2.1. No waiver by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

15.2.2. If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

15.3. Entire Agreement. These Terms of Use, along with any references and attachments, constitute the complete agreement between the parties, superseding any prior agreements on the same subject. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is deemed invalid or unenforceable, the remaining provisions will remain effective. Section headings are for convenience only and are not part of the Terms.

15.4. Force Majeure. The Company is not liable for delays or interruptions in performance of the Website due to events beyond reasonable control, such as natural disasters, government actions, terrorism, or severe weather.

15.5. Survival of Terms. Provisions related to intellectual property rights, limitation of liability, and indemnification will survive termination or expiration of these Terms of Use and remain in effect.

15.6. Grievance Redressal. The User may report any violations of these Terms of Use by writing their complaints to the Grievance Office at support@groko.in. Upon receipt of such complaint, the Grievance Office will endeavor to resolve User's concern within 30 days from the date of receipt of User complaint. The Company will respond to the User's complaints no later than 30 days by: (a) taking down such violating Website Content; or (b) suspending/blocking the relevant User's account. Our Team's assessment of any complaints relating to content shared on the Website will be limited to whether such content violates these Terms of Use or our own internal policies and guidelines. Such a decision will be final and binding as regards content on the Website. The Company does not undertake any legal analysis or judgement on the nature of reported content.
